This Agreement governs use of the EOTY QuickBooks Integration (the "Software"), a private internal application owned and operated by Event Of The Year LLC ("Company"). The Software is not distributed, licensed, sold, or otherwise made available to the public or to any third party. The only permitted users are Company personnel and advisers expressly authorized by the Company.
The Company grants authorized personnel a non-exclusive, non-transferable, revocable licence to use the Software solely for the Company's internal bookkeeping, accounting, and tax preparation, and only in connection with QuickBooks Online company files the Company owns or is authorized to access.
The Software accesses QuickBooks Online accounting data belonging to the Company. Handling of that data is described in the Privacy Policy, which forms part of this Agreement. The Company remains the controller of its own accounting records.
The Software integrates with QuickBooks Online through Intuit's published APIs. Intuit is not a party to this Agreement, does not endorse the Software, and bears no responsibility for it. Use of QuickBooks Online remains subject to the Company's own agreements with Intuit. QuickBooks and Intuit are trademarks of Intuit Inc.
The Software is provided "as is", without warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. The Software is an internal tool and is not a substitute for professional accounting or tax advice. Entries it produces are subject to review by the Company's accountants before being relied upon.
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising out of or relating to use of the Software.
This Agreement applies for as long as the Software is used. The Company may terminate or suspend access at any time. Authorization may also be revoked from within QuickBooks Online at any time, which ends the Software's access to Company data.
This Agreement is governed by the laws of the State of New York, without regard to its conflict of laws provisions.
